For the purposes of these Terms of Use, the terms , ‘GLX’, ‘we’ or ‘us’ refers to GLX Pte Ltd (a company registered in Singapore), GLX Digital Ltd (a company registered in Australia), and their related bodies corporate (where applicable), and the term ‘our’ has a correlative meaning. The term ‘you’ refers to the viewer or user of our Site, and the term ‘your’ has a correlative meaning.

Please read these Terms of Use carefully. By accessing and using this web page and the other web pages owned or operated by us or accessing and using our online services (our Site), you will be conclusively presumed to have notice of, and you acknowledge that you agree to comply with and be bound by, these Terms of Use, as amended from time to time. These Terms of Use govern our relationship with you in relation to our Site. If you disagree with any part of these terms of Use, you must immediately discontinue your access or use of our Site.

Certain pages and/or sections of our Site have specific terms and conditions of use that apply to your access and use of those certain pages and/or sections. Such specific terms and conditions will be made available to you in an appropriate manner and shall constitute a part of these Terms of Use in respect of those pages and/or sections. In the event of any conflict between such specific terms and conditions of use and these Terms of Use, the specific terms and conditions of use shall prevail to the extent of such conflict. In particular, if you become a subscriber to the Software as a Service solutions provided by GLX, further terms of use will apply to you, which will be provided as part of the subscription process.

Headings are inserted for convenience and shall not affect the interpretation of these Terms of Use.

You are responsible for obtaining (whether from your Company or from any other persons or entities who may need or otherwise have the right to consent to or approve your access and use of the Site and any of the features, materials, opportunities, and services provided through the Site) all consents and approvals that may be required with regard to your access and use of the Site or with regard to your disclosure of any information that you provide to us in connection with the Site, regardless of whether such consents and approvals are required by law or otherwise. You agree not to use or access features or portions of the Site nor submit nor provide to us any information or materials, for which you do not have all required consents and authorizations.

Proprietary Rights

The information and materials located or hosted on, or linked to, our Site (the Materials) are protected by copyright, trademark and other forms of proprietary rights. Such Materials include, but are not limited to, any price information, data, photographs, graphics, illustrations, designs, trademarks, trade names, service marks, product names, logos, insignias or other devices, software programmes, downloadable files, software applications, interactive features, tools, services or other information or content made available on or through our Site. The presentation and layout of the Materials is also protected by copyrights, trademarks, service marks, international treaties and other proprietary rights and laws.
You must not use our logos or marks, other than as permitted by laws relating to fair use, without our prior written consent, which consent we may withhold in our absolute discretion.

Access to Our Site

If you make a copy of the Materials, you must ensure that such copy must be in the form as presented on our Site and must include all applicable copyright and other notices on our Site.

Note that where users of the Site subscribe to any Software as a Service solution provided by GLX, certain rights to access and use the Materials for commercial purposes may be granted, in accordance with a ‘Subscription Agreement’ provided as part of the subscription process.

Registration and Provision of Your Materials

You are not required to register to use the Site.
As part of the subscription process, you may be allocated a user name and password. You must keep any user name and password that are allocated to you private, and not disclose them to any other person.
As part of the subscription process (or in any other interaction with the Site) you may provide or share content, information or other data with us (Your Materials). Your Materials must not:

Infringe the intellectual property or other rights of another person;
Be defamatory, offensive, abusive, pornographic, profane or otherwise unlawful, including material that racially or religiously vilifies, incites violence or hatred, or is likely to insult or humiliate others based on race, religion, ethnicity, gender, age, sexual orientation or any physical or mental disability;
Relates to unlawful conduct;
Create a privacy or security risk to any person, including by soliciting personal information from any person;
Be false, misleading or deceptive;
Contain financial, legal, medical or other professional advice;
Harm, abuse, harass, stalk, threaten or otherwise offend;
Tamper with, hinders the operation of, or makes unauthorised modifications to the Site;
Breach any applicable laws; or
Otherwise result in civil or criminal liability for you, us or any third party.

Without limiting the application of any Subscription Agreement, by providing us with Your Content, you grant us a non-exclusive, worldwide, royalty-free, perpetual, licence (including a right of sublicence) to use, copy, modify Your Content for subscription purposes or any other purpose as indicated to you on this Site; and warrant that you have the right to grant such licence.
You agree to indemnify and hold us (including any of its directors, officers, employees, consultants, or shareholders) harmless from any claim made by any third party arising out of Your Content you provide

No Unlawful or Prohibited Use of Our Site

You acknowledge and agree that, as a condition of your access and use of our Site, you will not use the Materials or our Site for any purpose that is unlawful or prohibited by these Terms of Use. You may not use our Site in any manner that could damage, disable, overburden or impair any GLX server, or the networks connected to any GLX server, or interfere with any other party’s access and use of our Site. You may not attempt to gain unauthorised access to our Site, or any services provided via our Site, other accounts, computer systems or networks connected to any GLX server or to any of the services provided via our Site, through hacking, password mining or any other means. You may not obtain, or attempt to obtain, any Materials or other information through any means not intentionally made available on or through our Site.

Unless otherwise stated, you may not link (including, but not limited to, hyperlink, in-line link or deep-link) (hereinafter collectively referred to as Link), mirror or frame our Site or any part thereof to any other web page, website, server or otherwise. Except with our prior written permission no trademark, trade name, service mark, product name or logo may be used as a Link or to mark any Link to our Site or any part thereof or any other web page or website.

You may not deep-link to our Site or any part thereof anything which was dynamically created by our system and customised for particular usage sessions.

These Terms of Use shall be governed by and construed in accordance with the laws of Western Australia. You agree to submit to the non-exclusive jurisdiction of Western Australia courts.

English Version to Prevail.
